Terms of Use & User Agreement
By accessing any website, digital platform, course material, publication, AI tool, communications system, or other resource provided by Kelly Legacy Estates, Kelly Legacy Estates Living Trust, Kelly Legacy Institute, Kelly Legacy Publications, or the Office of the Fiduciary (collectively, "KLE", "Institution", "we", "us", or "our"), you agree to be bound by these Terms of Use & User Agreement (the "Terms"). If you do not agree to these Terms, you may not access or use any KLE resource.
These Terms apply to all users, including visitors, registered participants, Governance Participants, Executive Access holders, and any other person or entity that interacts with KLE platforms or materials.
Kelly Legacy Estates provides educational resources regarding:
- Fiduciary literacy and governance principles;
- Trust administration education;
- Institutional record practices and continuity systems;
- Administrative process and procedural frameworks;
- AI governance education and executive oversight; and
- Governance doctrine and institutional publications.
KLE is an educational and governance literacy institution. It is not a law firm, financial advisory firm, accounting firm, or government agency.
All materials, publications, curriculum, doctrine, AI outputs, and other resources provided by KLE are for informational and educational purposes only. They are not:
- Legal advice, financial advice, or investment advice;
- Tax advice or accounting advice;
- Professional services of any kind;
- A substitute for consultation with qualified legal, financial, tax, or accounting professionals.
You must seek independent, qualified professional review before acting on any information obtained through KLE platforms. No educational material should be relied upon as a definitive statement of law or best practice without independent verification.
Your use of KLE platforms, access to materials, participation in programs, or communication with KLE does not create:
- An attorney‑client relationship;
- A fiduciary‑client relationship (unless a separate written agreement expressly states otherwise);
- A trustee appointment or agency relationship;
- An advisory relationship of any kind; or
- A partnership, joint venture, or employment relationship.
Any professional relationship must be established by a separate, written agreement signed by an authorized representative of KLE.
By using any KLE resource, you agree to:
- Use all materials lawfully and in accordance with these Terms;
- Independently verify any information you obtain from KLE before relying upon it;
- Respect KLE’s intellectual property rights as set forth in the Intellectual Property & Licensing Policy;
- Maintain the security and confidentiality of any account credentials, access codes, or verification tokens provided to you;
- Avoid any misuse, unauthorized copying, redistribution, or commercial exploitation of KLE materials; and
- Comply with all applicable laws, regulations, and institutional policies.
Some KLE resources require registration or an access credential. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. KLE reserves the right to suspend or terminate any account at any time, with or without notice, for any violation of these Terms, for inactivity, or for any other reason we deem appropriate.
Access classifications (e.g., Public Observer, Governance Participant, Executive Access) are determined by KLE in its sole discretion and may be revoked at any time.
Access credentials, verification tokens, and digital access tools offered through the KLI Institutional Access Infrastructure™ are used solely for internal educational access management and governance participation recognition. They do not represent:
- Ownership interest, equity, or any security;
- Investment rights, profit‑sharing rights, or any financial instrument;
- Professional credentials, certifications, or licenses;
- Governmental authorization, accreditation, or legal recognition;
- Any right to act on behalf of KLE or bind KLE to any agreement.
Access Infrastructure™ tools are provided as administrative conveniences only and have no value outside of KLE’s internal governance systems.
KLE may provide access to artificial intelligence tools, including the Legacy AI chat interface. These AI tools are for educational assistance only. By using any AI tool provided by KLE, you acknowledge and agree that:
- AI outputs do not replace human judgment or professional advice;
- AI outputs may be incomplete, inaccurate, or outdated;
- You are solely responsible for independently verifying any AI‑generated information;
- AI tools do not create any professional or fiduciary relationship with KLE; and
- KLE may record and review AI interactions for quality assurance and security purposes.
KLE disclaims all liability for any actions taken or not taken based on AI outputs.
All curriculum, doctrine frameworks, publications, graphics, videos, templates, proprietary terminology, systems, AI configurations, and other original materials created by KLE are owned by the Kelly Legacy Estates Living Trust and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, revocable, non‑exclusive license to access and use these materials for personal, educational, non‑commercial purposes as set forth in the Intellectual Property & Licensing Policy. Any other use is strictly prohibited without prior written authorization.
You may not, directly or indirectly:
- Scrape, crawl, or extract KLE website or platform content using automated tools without express written permission;
- Copy, reproduce, republish, redistribute, or commercially exploit KLE systems or materials;
- Bypass or attempt to bypass any access controls, authentication measures, or security features;
- Interfere with the operation of KLE platforms, including through denial‑of‑service attacks or introduction of malware;
- Impersonate any KLE officer, fiduciary, or other representative;
- Misrepresent your affiliation with KLE or use KLE’s name, logos, or trademarks without authorization; or
- Use KLE materials to train, develop, or improve any competing educational, governance, or AI platform without written permission.
Any fees, contributions, or payments made for access credentials, educational programs, subscriptions, or digital products are governed by the terms posted at the time of purchase. All such fees are non‑refundable unless expressly stated otherwise. KLE reserves the right to change fees or access terms upon reasonable notice.
KLE may use third‑party platforms and service providers, including learning management systems, payment processors, hosting providers, communication tools, and blockchain interfaces. Your use of those third‑party services may be subject to their respective terms of service and privacy policies. KLE is not responsible for the acts or omissions of any third‑party service provider.
KLE does not guarantee any specific outcome from the use of its educational materials, doctrine, or platforms. Specifically, KLE does not guarantee:
- Any legal outcome, court ruling, or favorable administrative decision;
- Any financial result, investment return, or tax benefit;
- Any business result or competitive advantage;
- Any certification, licensure, or professional qualification; or
- Any governance recognition by third parties.
Results depend on individual facts, jurisdiction, competent professional advice, and many factors outside KLE’s control.
To the maximum extent permitted by applicable law, KLE and its trustees, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or loss of goodwill, arising out of or related to your use of or inability to use any KLE resource, even if advised of the possibility of such damages. KLE’s total aggregate liability shall not exceed the greater of $100 or the amount you paid to KLE in the preceding twelve months.
You agree to indemnify, defend, and hold harmless KLE and its trustees, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney fees) arising out of or related to your violation of these Terms, your misuse of KLE materials, or your violation of any law or third‑party rights.
KLE reserves the right to update or modify these Terms at any time without prior notice to individual users. The most current version will be posted at https://kellylegacyestates.com/legal/terms.html with the "Last Updated" date. Your continued use of any KLE resource after any changes constitutes acceptance of the revised Terms. If you do not agree to any changes, you must immediately cease all use of KLE resources.
These Terms shall be interpreted and enforced in accordance with the laws of the jurisdiction in which the Kelly Legacy Estates Living Trust is organized, without regard to conflict‑of‑law principles. Any dispute arising under these Terms shall be resolved through good‑faith negotiation, or if negotiation fails, through binding arbitration administered by a recognized arbitration authority, unless otherwise agreed in writing. The prevailing party in any dispute shall be entitled to recover reasonable attorney fees and costs.
