Intellectual Property & Licensing Policy
This Intellectual Property & Licensing Policy (the "Policy") governs the ownership, protection, licensing, and permitted use of all intellectual property created, owned, operated, published, or distributed by Kelly Legacy Estates, Kelly Legacy Institute, Kelly Legacy Publications, the Office of the Fiduciary, and the Kelly Legacy Estates Living Trust (collectively, "KLE", "Institution", "we", "us", or "our"). This Policy applies to all users, visitors, authorized participants, licensees, and third parties accessing or using any KLE materials, platforms, or services.
KLE reserves all rights not expressly granted herein. Any unauthorized use of KLE intellectual property is strictly prohibited and may result in legal action, including but not limited to injunctive relief, damages, and attorney fees.
All intellectual property created, developed, acquired, or published by KLE is the exclusive property of Kelly Legacy Estates Living Trust and its affiliated entities, unless otherwise expressly stated in a written agreement. This includes, without limitation, all rights in and to:
- Copyrights in written materials, doctrine, curriculum, publications, digital content, and software;
- Trademarks, service marks, trade names, logos, and brand identifiers, whether registered or unregistered;
- Trade secrets, proprietary systems, methodologies, frameworks, and institutional processes;
- Domain names, website content, graphics, designs, and layout; and
- All derivative works, compilations, and updates of the foregoing.
No transfer of ownership occurs through access, use, or participation. No license or right is granted except as expressly set forth in this Policy or a separate written agreement signed by an authorized representative of KLE.
The following categories of materials are protected by this Policy and applicable intellectual property laws, including but not limited to copyright, trademark, and trade secret law:
- All educational curriculum, course modules, syllabi, and instructional content published by Kelly Legacy Institute;
- Institutional doctrine, governance frameworks, fiduciary manuals, and administrative procedure documents;
- Written publications, research papers, case studies, white papers, and periodic institutional reports;
- Templates, forms, checklists, and model documents provided through KLE platforms;
- Instructional recordings, videos, presentations, webinars, and associated digital assets;
- Brand elements, logos, color schemes, typography, and visual identity assets;
- Proprietary terminology, system names (e.g., "Institutional Ledger System™", "Remedies & Recourse™", "KLAT Access Infrastructure™"), and trade dress;
- Software, source code, APIs, and digital infrastructure used to deliver KLE services; and
- All derivative works, translations, adaptations, or modifications of any of the foregoing.
This list is illustrative, not exhaustive. KLE reserves the right to assert intellectual property protection over any original material created or published by the Institution.
Subject to compliance with this Policy and any applicable terms of service or governance agreements, KLE grants to authorized users (including Governance Participants and Executive Access holders) a limited, revocable, non‑exclusive, non‑transferable, non‑sublicensable license to access and use KLE materials for personal, educational, and internal institutional purposes during the term of their authorization. This license is automatically terminated upon termination of access or any breach of this Policy.
No authorized user may share, distribute, or otherwise make available KLE materials to any third party without prior written consent from KLE. Each user is personally responsible for maintaining the confidentiality and integrity of KLE materials.
Unless otherwise restricted by a separate agreement, users may:
- Access and view KLE materials for personal, educational, or internal institutional review;
- Retain personal copies of materials where expressly permitted by KLE in writing;
- Reference KLE concepts and doctrine in non‑commercial, academic, or governance‑focused discussions, provided proper attribution is given to Kelly Legacy Institute or Kelly Legacy Estates; and
- Use KLE trademarks and brand identifiers only as expressly authorized in writing or as permitted under fair use principles without likelihood of confusion.
Any use beyond these limited permissions requires a separate written license agreement signed by an authorized representative of KLE.
Without prior express written authorization from KLE, no person or entity may:
- Reproduce, republish, redistribute, resell, sublicense, or commercially exploit any KLE materials, in whole or in part;
- Modify, adapt, translate, reverse engineer, or create derivative works of KLE materials;
- Remove, obscure, or alter any copyright, trademark, or proprietary rights notices on KLE materials;
- Present KLE materials as the user's own work or claim ownership over any portion thereof;
- Use KLE trademarks, logos, or brand identifiers in a manner that may cause confusion, imply endorsement, or disparage KLE;
- Upload, post, or otherwise transmit KLE materials to any publicly accessible website, forum, repository, or file‑sharing service;
- Use KLE curriculum, doctrine, or frameworks to train, develop, or improve any competing educational, governance, or fiduciary service or product; or
- Circumvent any technical measures or access controls implemented by KLE to protect its intellectual property.
Any prohibited use constitutes a breach of this Policy and may result in immediate termination of access, legal action, and liability for damages.
All trademarks, service marks, trade names, logos, and brand identifiers used by KLE, whether registered or unregistered, are the exclusive property of Kelly Legacy Estates Living Trust. No person or entity may use any KLE trademark or brand identifier without prior written permission except for accurate, non‑misleading, non‑commercial references that do not suggest sponsorship or endorsement by KLE.
Prohibited uses include, without limitation:
- Using KLE marks in domain names, social media handles, or advertising without authorization;
- Using KLE marks in a way that falsely implies affiliation or endorsement;
- Altering or stylizing KLE marks without express permission; and
- Using KLE marks in connection with any illegal, defamatory, or obscene material.
KLE actively enforces its trademark rights and reserves the right to object to any unauthorized or improper use.
All written publications, educational curriculum, templates, forms, checklists, and digital materials provided by KLE are protected by copyright. Authorized users may download and print a reasonable number of copies for personal educational use only. No user may:
- Mass‑produce or distribute copies (whether in print or digital form);
- Sell, license, or otherwise commercialize any KLE publications or curriculum;
- Post KLE materials to any internal or external file‑sharing system, intranet, or website accessible by third parties; or
- Use KLE templates or forms to create competing or derivative commercial products.

KLE strictly prohibits the use of any KLE materials (including curriculum, doctrine, publications, and digital content) for the purpose of training, fine‑tuning, validating, or otherwise developing any artificial intelligence (AI) model, machine learning system, large language model (LLM), dataset, or automated decision‑making system without express written authorization from KLE. This includes, but is not limited to:
- Web scraping, data extraction, or content mining of KLE websites, platforms, or repositories;
- Automated collection of KLE materials using bots, crawlers, or similar technologies;
- Incorporating KLE materials into any training dataset for AI or machine learning purposes;
- Using KLE doctrine or frameworks to generate AI‑based educational or governance products; and
- Reverse‑engineering or decompiling KLE software or digital infrastructure.
Any violation of this Section 9 is a material breach of this Policy and may result in immediate legal action, including claims for damages and injunctive relief under applicable data protection, computer fraud, and intellectual property laws.
If you submit any suggestions, comments, feedback, ideas, or other materials to KLE (collectively, "Feedback"), you hereby grant KLE an irrevocable, perpetual, royalty‑free, worldwide, transferable, sublicensable license to use, modify, incorporate, and commercially exploit such Feedback without any obligation to compensate you. KLE shall be the sole owner of any improvements or derivative works created based on such Feedback.
You represent and warrant that any Feedback you submit does not violate the rights of any third party, including intellectual property rights, and that you have all necessary rights to grant the foregoing license.
Some KLE platforms or publications may contain materials owned by third parties (e.g., quoted excerpts, open‑source software, or licensed stock assets). Use of such third‑party materials is subject to the respective third‑party licenses or terms, which will be identified where required. KLE does not warrant or assume responsibility for any third‑party materials. It is your responsibility to comply with any additional terms applicable to third‑party content.
KLE respects the intellectual property rights of others. If you believe in good faith that any material available through KLE platforms infringes your copyright, you or your authorized agent may submit a written notice to our designated copyright agent. The notice must include:
- Identification of the copyrighted work claimed to have been infringed;
- Identification of the material that is claimed to be infringing and information reasonably sufficient to locate the material;
- Your contact information (name, address, email, telephone number);
- A statement that you have a good faith belief that use of the material is not authorized by the copyright owner, its agent, or the law;
- A statement under penalty of perjury that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf; and
- Your physical or electronic signature.

KLE will respond to valid DMCA notices and may remove or disable access to allegedly infringing material.
KLE actively enforces its intellectual property rights. Any violation of this Policy may result in:
- Immediate termination of access to KLE platforms, services, and materials;
- Forfeiture of any fees or contributions paid to KLE;
- Legal action seeking injunctive relief, actual damages, statutory damages, and attorney fees; and
- Reporting of unauthorized activity to relevant authorities.
All rights not expressly granted to you in this Policy are reserved by KLE. Nothing in this Policy shall be construed as a waiver of any rights under applicable intellectual property laws.
Access to or use of KLE materials does not transfer any ownership interest in any intellectual property. Your authorized user license is a limited, revocable permission to use materials subject to this Policy, not a sale of any copyright, trademark, or other proprietary right. No implied license or right is created by course of dealing, custom, or usage.
KLE reserves the right to update or modify this Policy at any time without prior notice to individual users. The most current version will be posted at https://kellylegacyestates.com/legal/ip-policy.html. Your continued use of KLE materials after any changes constitutes acceptance of the revised Policy. If you do not agree to any changes, you must immediately cease all use of KLE materials.
